Terms of Service

1. Agreement to Terms

By accessing or using Papyro ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

Papyro is operated by an individual developer and hosted on Google Cloud Platform (us-central1 region). We provide AI-powered research paper analysis and content transformation services globally.

2. Service Description

Papyro provides:

• Research paper discovery and organization
• AI-powered dialogue for understanding research papers
• Note-taking and annotation features
• Content transformation tools (subject to plan limits)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

You must be at least 16 years old to use our Service.

4. Subscription Plans and Lifetime Deals

4.1 Lifetime Deals (LTD)

Lifetime Deal purchases provide permanent access to the Service subject to the purchased tier's limitations. LTD purchases:

• Are one-time payments with no recurring fees
• Include a Founding Member badge
• Provide 30% permanent discount on future subscription upgrades
• Are subject to monthly usage quotas as specified at purchase
• Are non-refundable except as stated in our Refund Policy

4.2 Subscription Plans

Subscription plans automatically renew at the end of each billing cycle unless canceled. You agree to:

• Pay all fees associated with your chosen plan
• Maintain valid payment information
• Accept that fees are non-refundable except as stated in our Refund Policy

4.3 Usage Limits

All plans have usage limits (papers per month, messages per paper, etc.). We reserve the right to enforce these limits and suspend accounts that abuse or exceed limits without authorization.

5. Payment Processing

Payments are processed securely through Stripe, Inc. By making a purchase, you agree to Stripe's terms and conditions. We do not store your payment card information.

You are responsible for all charges incurred under your account, including applicable taxes. Price changes will be communicated with at least 30 days' notice for existing subscribers.

6. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Scrape, copy, or redistribute our content without permission
• Share your account credentials with others
• Use the Service to generate spam or harmful content
• Abuse usage limits or attempt to circumvent them

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Papyro and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you create using our Service. By using the Service, you grant us a limited license to store, process, and display your content solely to provide the Service.

8. Third-Party Services

Our Service integrates with third-party services including:

• Google Cloud Platform (hosting and infrastructure)
• Firebase (authentication and database)
• Stripe (payment processing)
• Google Gemini API (AI capabilities)
• Hugging Face (research paper source)

Your use of these services through our platform is subject to their respective terms and conditions.

9. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy.

10. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• Subscription fees paid in advance are non-refundable
• We may delete your data after a reasonable retention period
• Refunds are subject to our Refund Policy

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

11. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not guarantee:

• Uninterrupted or error-free operation
• Accuracy or completeness of AI-generated content
• Security of data transmission over the internet
• Availability of third-party services

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim (or $100 for LTD purchases).

12. Governing Law and Disputes

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

The Service is operated by an individual based in Japan and hosted on Google Cloud Platform infrastructure.

12.2 Consumer Protection Laws

Nothing in these Terms shall limit or exclude your rights under applicable consumer protection laws:

• EU/EEA Users: Your rights under EU consumer protection laws and GDPR remain in full effect and cannot be waived by this agreement.
• California Users: Your rights under the California Consumer Privacy Act (CCPA) and other California consumer laws remain in full effect.
• Other Jurisdictions: Your mandatory consumer protection rights under your local laws remain in full effect.

12.3 Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us at support@papyro-ai.com to resolve disputes informally.

For disputes that cannot be resolved informally:

• Small Claims: Either party may bring a claim in small claims court in Japan or your local jurisdiction (if permitted by local law).
• Larger Disputes: Disputes may be resolved through negotiation, mediation, or legal proceedings in the appropriate courts of Japan, subject to your mandatory consumer protection rights.
• Optional Arbitration: Both parties may mutually agree to resolve disputes through online arbitration, but this is not mandatory.

12.4 Class Action Waiver

To the extent permitted by law, you agree that disputes will be resolved on an individual basis and not as a class action, except where such waiver is prohibited by law.

Note: This waiver may not be enforceable in certain jurisdictions, including the EU and some US states. If you are located in such a jurisdiction, this waiver does not apply to you.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service at least 30 days before they take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms constitute the entire agreement between you and Papyro regarding the Service and supersede all prior agreements.
